Paralegal, Public Finance
JOB SUMMARY
Kutak Rock seeks an experienced paralegal to join its Denver office. This position will provide direct assistance to Public Finance department attorneys in the preparation of transaction documents and official statements for securities offerings. This role will work collaboratively with attorneys, clients, and staff in a collegial environment.
RESPONSIBILITIES
- Prepare first drafts of basic documents, including transaction documents and official statements, attend drafting sessions, make revisions to primary documents
- Perform due diligence to verify information and data contained in the official statement
- Coordinate the distribution of documents to participants
- Organize and analyze documents
- Prepare and file UCC statements
- Handle routine correspondence, maintain telephone contact with the clients and consult the supervising attorney for legal advice when necessary
- Review financial proformas and models and incorporate such information into transaction documents
- Coordinate and attend closings, which include, but are not limited to, preparing signature pages for execution, obtaining executed signature pages and any other documents required for closing, compiling and distributing closing documents, preparation of letters and forms post-closing as required and preparing closing transcripts
- Draft documents for adoption by a housing authority or similar entity board of directors with an overall understanding of the Board process
QUALIFICATIONS: Skills and Abilities
- Excellent verbal and written communication skills
- Ability to interface with attorney, clients and staff professionally
- Keen attention to detail with excellent grammar, spelling and proofreading skills
- Ability to examine, evaluate and summarize large quantities of information with respect to securities offerings
- Advanced skills in Microsoft Office including, Excel, PowerPoint and Styles
- Experience with Adobe and Kofax PDF, and document comparison and formatting software such as Litera and Forte
- General understanding of the Housing Authorities Law, the Urban Residential Finance Authorities Law and the Revenue Bond Law in the Georgia Code
- Knowledge regarding the scheduling of validation hearings, preparing validation documents and filing same, as needed, at the Clerk of Court of the jurisdiction in which they are to be filed
- Must be a self-starter with a strong work ethic and willingness to assume responsibility for the start and completion of tasks
QUALIFICATIONS: Education and Experience
- High School diploma or equivalent required, bachelor’s degree or paralegal certificate from an ABA approved institution are preferred
- 3+ years paralegal experience required
- Transactional experience and/or experience in one or more of the following: public finance, real estate, secured transactions, liens, Uniform Commercial Code, and/or securities/structured finance preferred
Position Information
Status: Non-Exempt
Salary Range: $95,000-$110,000 commensurate with experience
Work Arrangement: On-site, Subject to Work Arrangements Policy
