Corporate Development Specialist
I am a Senior Managing Director with a boutique executive search firm that has been retained by the for-profit offshoot of a large non-profit organization that is expanding. This role is very M&A intensive and require a strong M&A background. Experience with Private Equity and TICC is preferred. This is a remote position, but requires travel. This is a unique opportunity for someone who is interested in working for a newly formed for-profit outfit that has roots and connections with one of the oldest not-for-profits, the NFPA, which was established more than 125 years ago. Working on a small team with proven leaders who have worked for large Fortune 500 Companies and within the industry, this individual will get the chance to learn from leaders in the field. The company is actively acquiring businesses in the highly fragmented TIC (Testing, Inspection, Certification, and Compliance) industry, which has attracted significant interest from the private equity sector. As a result, the Specialist will have the chance to work on many deals, both domestically and internationally. Success in this role could open opportunities for both operational and financial positions, as the company is committed to an active acquisition strategy.
Responsibilities:
Build a pipeline of potential prospects through research, profiling, filtering, and prospecting.
Develop and maintain financial deal models, incorporating input from business leaders, diligence findings, and risk assessments.
Organize, coordinate, and lead diligence teams, including negotiating scope of work, tracking progress, summarizing findings, and assessing financial impacts.
Manage multiple workstreams, collaborating with sellers, diligence partners, advisors, and business leaders to achieve deal signing and closing.
Lead meetings and present to the NGS leadership team.
Execute and support initiatives for identifying, developing, and managing buy-side M&A transactions.
Provide analytical support to senior NGS leadership.
Lead deal teams and contribute to negotiations and definitive agreements.
Qualifications:
Education: Master’s degree in math, finance, business, or equivalent.
Minimum: At least four years of M&A or equivalent with a strong understanding of TICC needed. Exposure to private equity firms a bonus.
Skill set: Proficient in financial modeling, project management, leadership, and organization.
Communication: Strong written, verbal, and presentation skills.
Problem-Solving: Analyze complex, non-recurring issues and develop innovative solutions.
Independence: Work autonomously, setting goals, priorities, and allocating resources.
Impact: Influence multiple departments with high-impact decisions and policy contributions.
