About the Role

Midwest Equity is a growing private equity real estate company headquartered in eastern Iowa, with assets under management across 12 states. We are seeking a motivated, detail-oriented Legal Intern to support our legal department across real estate transactions, corporate governance, asset management, and investor-related matters.

This role is designed for candidates who are considering sophisticated real estate transactional work, including law firm opportunities, but are also interested in a more collaborative, business-integrated environment. The Legal Intern will support a high-performing in-house legal department with deep commercial real estate experience, including team members with large-law-firm real estate backgrounds and associate-level transactional experience. The work is substantive, practical, and deal-driven, with exposure to the same core subject matter found in real estate transactional practice—leasing, acquisitions, dispositions, financing, entity governance, diligence, and legal operations—within a team-oriented setting focused on one client: the real estate fund and its related portfolio companies.

Interns will gain meaningful exposure to sophisticated real estate legal work while seeing how legal advice directly supports investment strategy, asset management, investor relations, and portfolio operations. The role also offers the opportunity to learn from experienced legal professionals, including Midwest Equity’s General Counsel, a former real estate partner at Chapman and Cutler in Chicago; a contract negotiator for DC in Los Angeles; and other team members with experience at firms such as Spencer Fane in Kansas City and Iowa City. Compared with a traditional law firm setting, Midwest Equity offers closer access to the business team, a clearer view of how transactions affect the client’s objectives, and the opportunity to contribute within a collegial legal department that values teamwork, responsiveness, judgment, and professional development.

Key Responsibilities

Transactional Support

  • Assist with the preparation and review of letters of intent, lease amendments, closing documents, and related transaction materials.
  • Support legal due diligence by ordering, tracking, organizing, and performing preliminary reviews of title commitments, surveys, zoning reports, leases, contracts, and other diligence materials.
  • Help maintain deal checklists, closing trackers, and transaction files.
  • Conduct legal and business research related to acquisitions, dispositions, financing, leasing, joint ventures, and other corporate matters.

Corporate Governance & Investor Support

  • Assist with drafting, organizing, and maintaining entity formation and governance documents, including LLC and TIC-related materials.
  • Help update corporate governance templates, form documents, and internal reference materials.
  • Support the preparation, organization, and review of investor-related documents and materials.
  • Review investor communications for accuracy and consistency before attorney review and approval.
  • Assist with efforts to standardize and improve governance processes across Midwest Equity’s portfolio of entities.

Asset Management & Operations Support

  • Track lease abstracts and support the use of lease management, query, and AI-enabled tools.
  • Assist with the preparation of draft demand letters and other routine legal correspondence under attorney supervision.
  • Support collections, property tax appeal filings, and coordination with outside counsel.
  • Assist with risk, insurance, indemnity, and claims-related research and documentation.
  • Review and summarize vendor and construction contracts under attorney supervision.
  • Support research and drafting for easements, development agreements, and municipal filings.

General Legal & Administrative Support

  • Assist in organizing and maintaining due diligence war rooms and document management systems.
  • Provide administrative support to the legal team, including tracking deadlines, updating forms, and organizing files.

Process & Efficiency

  • Identify opportunities to streamline transaction, governance, and compliance workflows.
  • Assist with the development and maintenance of document management systems, playbooks, checklists, and internal process tools.
  • Contribute ideas for improving legal operations, consistency, and efficiency across the department.

Qualifications

  • Current law student (2L or 3L) at an accredited law school.
  • Strong interest in commercial real estate, corporate, transactional, or private equity law.
  • Excellent research, writing, organizational, and analytical skills.
  • Ability to manage multiple projects, track details, and meet deadlines in a fast-paced environment.
  • Proactive, team-oriented, intellectually curious, and eager to learn.
  • Prior legal internship or real estate experience is a plus, but not required.
