Paralegal, Public Finance - Real Estate
JOB SUMMARY
Kutak Rock seeks an experienced paralegal to join its Minneapolis office. This position will provide direct assistance to attorneys in the Public Finance and Real Estate departments and assist in various aspects of public finance and real estate transactions, including the preparation of transaction documents, closing and post-closing activities for acquisitions, dispositions, financings, leasing, and development projects. This role will work collaboratively with attorneys, clients, and staff in a collegial environment.
RESPONSIBILITIES
- Prepare first drafts of basic documents, including transaction documents and make revisions to such documents
- Coordinate the distribution of documents to participants
- Organize documents
- Review title commitments, exception documents and surveys; interfacing directly with title companies and surveyors to resolve any issues or discrepancies
- Administration of contract critical dates and preparation and administration of closing checklists
- Handle routine correspondence, maintain telephone contact with the clients and consult the supervising attorney for legal advice when necessary
- Review financial proformas and models and incorporate such information into transaction documents
- Coordinate and, when applicable, attend closings, which include, but are not limited to, preparing signature pages for execution, obtaining executed signature pages and any other documents required for closing
- Assist with document assembly
- Compile and distribute closing documents, monitoring of post-closing deliveries
- Review and/or prepare conveyance documents, closing statements, [transfer tax forms,] and escrow closing instructions
- Prepare post-closing letters, forms, closing transcripts, and any additional documents as required
- Coordinate document recording in various counties in Minnesota and filing with the Minnesota Secretary of State
- Draft documents for adoption by a municipal council, board, agency, or other governing body
- Assist with additional projects and or requests as needed
QUALIFICATIONS: Skills and Abilities
- Excellent verbal and writing skills, with the ability to draft, proofread, and edit legal documents as needed
- Ability to interface with attorney, clients and staff professionally
- Keen attention to detail with excellent grammar, spelling and proofreading skills, with the ability review documentation and follow up requirements
- Proven organizational skills with the ability to problem-solve, think independently, and manage projects with appropriate supervision
- Ability to examine, evaluate and summarize large quantities of information
- Advanced skills in Microsoft Office including, Word [and Excel]
- Experience with Adobe and Kofax PDF, and document comparison and formatting software such as Litera and Forte
- Ability to multitask and prioritize; ability to manage time sensitive documents and other information with confidentiality and discretion
- Ability and aptitude to work with numbers and mathematical calculations
- Knowledge of conducting online research of public offices for tax, recording, zoning, and other information
- Must be a self-starter with a strong work ethic and willingness to assume responsibility for the start and completion of tasks
QUALIFICATIONS: Education and Experience
- High School diploma or equivalent required
- Bachelor’s degree or paralegal certificate from an ABA approved institution are preferred
- 5+ years paralegal experience required
- Transactional experience and/or experience in one or more of the following: public finance, commercial real estate, economic development, secured transactions, liens, and/or securities/structured finance
Position Information
Status: Non-Exempt
Salary Range: $65,000-$105,000 annual base salary, commensurate with education and experience
Work Arrangement: Hybrid
