Position Overview
We are seeking a Legal Intern to support our investment and operational teams in reviewing, drafting, and managing legal documents related to our independent sponsor deals and employment contracts. This role provides hands-on experience in private equity, M&A transactions, and employment law, making it an ideal opportunity for a law student or recent graduate with an interest in corporate law, M&A, and business operations.
Job Description
- Assist in the review and drafting of Non-Disclosure Agreements (NDAs), Letters of Intent (LOIs), and Purchase Agreements related to independent sponsor deals.
- Conduct legal due diligence on target companies, reviewing contracts, corporate governance documents, and compliance matters.
- Help prepare legal summaries and risk assessments for ongoing deals.
- Draft and review employment contracts, non-compete agreements, independent contractor agreements, and consulting agreements.
- Ensure employment contracts comply with relevant state and federal labor laws.
- Research best practices for executive compensation structures, equity agreements, and retention strategies.
- Assist in preparing internal compliance policies and governance documents.
- Support the team with corporate filings, entity formation, and structuring for acquisitions.
- Monitor legal developments that may impact our business operations.
- Conduct legal research on M&A regulations, securities laws, and contract interpretation.
- Support negotiations by drafting redlines and revisions to agreements.
- Work closely with external legal counsel and investment teams to facilitate transactions.
Job Requirements
- Current law student ( 2L) with a focus on corporate law, M&A, or employment law.
- Strong legal research, writing, and contract drafting skills.
- Familiarity with M&A transactions, corporate governance, and private equity structures is a plus.
- Proficiency in legal databases (Westlaw, LexisNexis) and Microsoft Office Suite.
- Ability to work independently and handle confidential information with discretion.
- Strong attention to detail, analytical skills, and ability to manage multiple tasks.
